4. Intellectual Property Rights

Our Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of Myron Labs and is protected by intellectual property laws.

Client Intellectual Property

We respect our clients' intellectual property rights. Any materials provided by clients remain their property. Upon full payment, clients receive all agreed-upon deliverables and associated intellectual property rights.

Work Product

Unless otherwise specified in a separate agreement, all work product created by Myron Labs for clients becomes the property of the client upon full payment.

5. Payment Terms

• Payment terms are specified in individual service agreements
• Invoices are due within 30 days unless otherwise specified
• Late payments may incur additional fees
• We reserve the right to suspend services for overdue accounts
• All fees are non-refundable unless otherwise stated

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information received during the course of our business relationship. This obligation survives the termination of services.

7. Warranties and Disclaimers

While we strive to provide high-quality services, Myron Labs provides services "as is" and makes no warranties, express or implied, regarding:

• The completeness, accuracy, or reliability of any content
• The results that may be obtained from the use of our services
• That our services will be uninterrupted or error-free
• The correction of any errors in our services

8. Limitation of Liability

To the maximum extent permitted by law, Myron Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

9. Indemnification

You agree to indemnify and hold harmless Myron Labs, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of your use of our services or violation of these terms.

10. Termination

Either party may terminate services:

• For convenience with 30 days written notice
• Immediately for material breach of these terms
• Immediately for non-payment of fees

Upon termination, all outstanding fees become immediately due and payable.

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

12. Dispute Resolution

Any disputes arising out of or relating to these terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

13. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of any material changes. Your continued use of our services after such modifications constitutes acceptance of the updated terms.
